These Terms and Conditions (the "Terms") govern the use of the website and related services (the "Website") operated by SearchQualify OÜ, an Estonian private limited company, registry code 16652288, with its registered address at Kesklinna linnaosa, Narva mnt 5, Harju maakond, 10117 Tallinn, Estonia (the "Company", "we", "us", or "our").

By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, you must not use the Website.

1. Definitions

  • "Candidate" - an individual who browses job listings or applies for jobs through redirection from the Website.
  • "Company User" - a legal entity or individual acting in a business capacity that publishes job postings or purchases services on the Website.
  • "Job Posting" - a vacancy advertisement displayed on the Website.
  • "Services" - job aggregation, job posting publication, featured listings, additional paid postings, candidate redirection, and custom recruitment services.
  • "Third-Party Website" - any external website or platform not operated by the Company.

2. Scope of Services

The Website provides the following services:

  1. Aggregation and display of job postings sourced from Third-Party Websites;
  2. Allowing Company Users to publish and manage their own Job Postings;
  3. Paid options for featured listings or additional Job Postings;
  4. Redirection of Candidates to Company Users' websites, application forms, or email addresses to submit applications;
  5. Custom recruitment and talent sourcing services provided under separate commercial terms.

The Company does not act as an employer, employment agency, or hiring intermediary unless explicitly agreed in writing.

3. Job Aggregation and Accuracy

Job Postings aggregated from Third-Party Websites are provided for informational purposes only. The Company does not guarantee:

  • the accuracy, completeness, or timeliness of aggregated Job Postings;
  • that a Job Posting is still open or valid;
  • that Candidates will receive a response or an offer of employment.

The Company may remove or update Job Postings at its discretion.

4. Redirection to Third-Party Websites

The Website may redirect Candidates to Third-Party Websites, application forms, or email addresses. The Company:

  • does not control and is not responsible for Third-Party Websites;
  • is not responsible for how Company Users or Third Parties process applications or personal data;
  • does not participate in the recruitment decision-making process.

Candidates interact with Company Users and Third-Party Websites at their own risk.

5. Company User Obligations

Company Users represent and warrant that:

  • all Job Postings are lawful, accurate, and not misleading;
  • Job Postings comply with applicable employment, anti-discrimination, and advertising laws;
  • they have the right to publish the Job Posting and collect applications;
  • Job Postings do not infringe intellectual property or third-party rights.

The Company reserves the right to remove Job Postings that violate these Terms or applicable law.

6. Prohibited Content

Job Postings and other content must not:

  • be discriminatory, unlawful, or offensive;
  • contain false information or scams;
  • advertise illegal activities;
  • include malware, tracking scripts, or harmful code;
  • violate data protection or privacy laws.

7. Paid Services and Fees

Certain Services are provided for a fee, including featured listings, additional Job Postings, and custom recruitment services.

  • Prices are displayed on the Website or agreed separately;
  • All fees are exclusive of VAT unless stated otherwise;
  • Payments are non-refundable unless required by law or explicitly stated;
  • The Company may change pricing with prospective effect.

Custom recruitment services may be governed by a separate agreement.

8. Intellectual Property

All intellectual property rights in the Website, including software, design, databases, and trademarks, belong to the Company or its licensors.

Company Users grant the Company a non-exclusive, worldwide, royalty-free license to display, distribute, and promote Job Postings for the purpose of providing the Services.

9. Data Protection

The Company processes personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR).

Details on data processing are described in the Privacy Policy, which forms an integral part of these Terms.

The Company is not responsible for how Company Users or Third Parties process Candidate data after redirection.

10. Disclaimer of Warranties

The Website and Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for:

  • indirect, incidental, or consequential damages;
  • loss of profits, data, or business opportunities;
  • actions or omissions of Company Users or Third Parties.

The Company's total liability shall not exceed the fees paid by the Company User to the Company during the preceding 12 months.

12. Indemnification

Company Users agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising out of:

  • Job Postings or content provided by the Company User;
  • violation of these Terms or applicable law;
  • disputes with Candidates.

13. Termination

The Company may suspend or terminate access to the Website or Services at any time if these Terms are violated.

Company Users may terminate their account at any time, subject to outstanding payment obligations.

14. Amendments

The Company may amend these Terms from time to time. Updated Terms will be published on the Website and apply from the date of publication.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Estonia.

Any disputes shall be subject to the exclusive jurisdiction of the Estonian courts, unless mandatory law provides otherwise.
